User Responsibilities

Any dispute arising out of or relating to this Agreement shall be resolved through arbitration in accordance with the rules of the arbitration chosen by us, and the arbitration shall take place in Colorado. The prevailing party in any arbitration or legal action shall be entitled to recover its attorneys' fees and costs.

Modifications to the Agreement

Cyphr.me reserves the right to modify this Agreement at any time. The updated version of the Agreement will be posted on the Website, and your continued use of the Website after any changes constitutes your acceptance of the updated Agreement.

Miscellaneous

Customer Agreement

Customer Agreement for Cyphr.me Authentic

This Customer Agreement ("Agreement") governs your use of the Cyphr.me Authentic product line, which includes the anti-counterfeit Software-as-a-Service ("SaaS") and accompanying barcodes (the "Product"). By using the Cyphr.me Authentic Product, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree with these terms, please do not use the Product.

License and Use of Cyphr.me Authentic

1.1. License Grant: Cyphr.me grants you a limited, non-exclusive, non-transferable, and revocable license to use the Cyphr.me Authentic SaaS and stickers for the sole purpose of authenticating and verifying the genuineness of products that bear the associated anti-counterfeit stickers.

1.2. Authorized Users: You may only allow your authorized employees or representatives to access and use the Product in accordance with this Agreement. You are responsible for ensuring that your authorized users comply with the terms and conditions of this Agreement.

1.3. Sticker Expiration: The anti-counterfeit stickers provided by Cyphr.me Authentic are valid for a period of 2 years from the date of go live. After this period, the stickers will be considered expired, and their authentication functionality will no longer be guaranteed.

User Responsibilities

2.1. Compliance with Laws: You agree to use the Cyphr.me Authentic Product in compliance with all applicable laws, regulations, and industry standards. You shall not use the Product for any illegal, harmful, or unauthorized purposes.

2.2. Proper Usage: You shall use the anti-counterfeit stickers solely for the intended purpose of verifying product authenticity. Any attempt to tamper with or misuse the stickers, the SaaS, or the verification process is strictly prohibited.

2.3. Data Privacy: When using the Cyphr.me Authentic Product, you may be required to provide certain data or information. You agree that you will only submit accurate and lawful data, and you shall be solely responsible for the information you provide.

Ownership and Intellectual Property

3.1. Cyphr.me Ownership: The Cyphr.me Authentic Product, including the SaaS and anti-counterfeit stickers, and all associated intellectual property rights, are and shall remain the exclusive property of Cyphr.me. This Agreement does not grant you any rights to the Product, except for the limited license expressly provided herein.

3.2. Feedback: If you provide any feedback, suggestions, or ideas regarding the Product, you agree that Cyphr.me may use such feedback for any purpose, without any obligation to you.

Warranty and Disclaimer

4.1. SaaS Performance: Cyphr.me will make commercially reasonable efforts to ensure the proper functioning and availability of the SaaS. However, you acknowledge that the SaaS may not be error-free or continuously available.

4.2. Sticker Verification: While Cyphr.me aims to provide accurate and reliable authentication services through the stickers, we do not guarantee that the verification process will be foolproof, nor do we guarantee the absolute authenticity of any product.

4.3. Expiration Disclaimer: After the 1-year validity period, the authentication functionality of the stickers will no longer be guaranteed.

4.4. No Other Warranties: Except as expressly provided in this Agreement, Cyphr.me makes no other warranties, whether express, implied, or statutory, regarding the Product, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, Cyphr.me and its affiliates, officers, directors, employees, agents, and suppliers shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to the use or inability to use the Cyphr.me Authentic Product.

Term and Termination

This Agreement shall remain in effect until terminated by either party. You may terminate this Agreement by discontinuing the use of the Cyphr.me Authentic Product. Cyphr.me may terminate this Agreement at any time for any reason without prior notice. Governing Law and Dispute Resolution

This Agreement constitutes the entire agreement between you and Cyphr.me concerning the Cyphr.me Authentic Product and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written. BY USING THE CYPHR.ME AUTHENTIC PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
